A credit note, or credit memo, is a legal financial document intended to inform a customer about their eligibility for a partial or full refund on a recently paid invoice. It's the direct opposite of a debit note, which instead of reimbursing costs, requests payment. Credit notes can offer reimbursement in the form of cash or store credit for future use.
There are several cases where you may need to issue a credit note. These include:
the customer returning products or rejecting services
the customer being overcharged on the original invoice
a mistake in price on the original invoice
products being damaged in transit or services failing to meet the terms of an agreement
The credit note document format is necessary because invoices can't be legally changed or deleted following successful payment. Therefore, you can use credit notes to substitute issuing new invoices in cases like the ones outlined above. Furthermore, it will prevent you from running into issues with the tax office at the end of the fiscal year.
A credit note should include the following information:
the term “Credit Note”
issue date
credit note number (often identical to the associated invoice's number)
customer reference number
payment terms
company details (name, address, contact)
VAT (if the original invoice included it)
A credit note (also called a credit memo) is used when you need to reduce the amount on an invoice—for example, when goods are returned, a customer was overcharged, or discounts are agreed after the purchase. A debit note is the opposite: it is used when you need to increase the amount owed, such as when extra charges apply after delivery. Understanding when to issue a credit note vs a debit note helps keep accounting accurate, protects your financial records, and gives both the buyer and seller a clear reference for adjustments.
To use a credit note template correctly, keep the credit note format consistent across transactions and make every credit note easy to review. A simple way to do this is to mirror the original invoice details and clearly show the reason for the credit, the date, and the updated total. This structure helps accounting teams reconcile data, manage customer balances, and keep clean records for tax and financial reporting. Your credit note should contain:
Unique credit note number
The related invoice number as a reference
Buyer and seller details
Returned items (or services)
Unit prices, discounts, the amount credited, and any optional notes (for example, whether the refund is paid as cash or applied to future billing)
Professional credit notes can reduce disputes because the buyer can see exactly which items were returned and how the credit was calculated. Clear details and a consistent credit note format also help your client team respond faster, since each credit note works as a traceable reference tied to the original invoice. If your process is automated, you can send the credit note as soon as goods are received and checked, update customer balances, and keep accounting data aligned—improving tracking and reducing manual errors.
